Terms and Conditions

1. Definitions

  • "Nectis" means the Nectis platform operated by Nectis Ltd.
  • "User" means any person who accesses or uses Nectis.
  • "Organisation" means the entity that has licensed access to Nectis.
  • "Data" means all data entered into or generated by Nectis.
  • "Business Hours" means 09:00 to 17:00 GMT, Monday to Friday, excluding UK public holidays.

2. License

Subject to these terms, Nectis Ltd grants the Organisation a non-exclusive, non-transferable licence to use Nectis for the licence period specified in the Organisation's agreement. The licence covers the number of users and features specified in the agreement.

3. User Obligations

Users must not:

  • Use Nectis for any unlawful purpose
  • Attempt to access data belonging to other organisations
  • Reverse engineer, decompile, or disassemble Nectis
  • Upload malicious code or content
  • Share login credentials with unauthorised parties

4. Data Ownership

The Organisation retains ownership of all data entered into Nectis. Nectis Ltd will not access Organisation data except as necessary to provide the service, respond to support requests, or comply with legal obligations.

5. Confidentiality

Both parties agree to keep confidential any information received from the other party that is marked as confidential or would reasonably be considered confidential. This obligation survives termination of the agreement.

6. Service Availability

Nectis Ltd will use reasonable efforts to maintain Nectis's availability. Planned maintenance will be scheduled outside Business Hours where possible, with advance notice. Nectis Ltd is not liable for downtime caused by circumstances beyond its reasonable control.

7. Support

Support is available via email during Business Hours. Nectis Ltd will respond to support requests within 2 business days.

8. Fees

Fees are as specified in the Organisation's agreement. All fees are exclusive of VAT unless stated otherwise. Invoices are payable within 30 days of issue.

9. Termination

Either party may terminate the agreement with 30 days written notice. On termination, the Organisation's access to Nectis will be revoked and data will be available for export for 30 days, after which it will be permanently deleted.

10. Limitation of Liability

To the maximum extent permitted by law, Nectis Ltd's total liability under these terms shall not exceed the fees paid by the Organisation in the 12 months preceding the claim. Nectis Ltd shall not be liable for indirect, consequential, or incidental damages.

11. Governing Law

These terms are governed by the laws of Scotland. Any disputes shall be subject to the exclusive jurisdiction of the Scottish courts.

12. Changes

Nectis Ltd may update these terms from time to time. Material changes will be communicated with at least 30 days notice. Continued use of Nectis after changes take effect constitutes acceptance.
